Welcome to Banrboard, a platform designed to connect billboard owners with clients / vendors seeking advertising opportunities.

These Terms shall govern vendor / client’s use of our website (https://banrboard.com/), web app, and mobile application, Banrboard, as available on Google Play Store and Apple App Store (hereinafter referred to as the “website” or “App” or “platform”).

Banrboard is an online platform that connects billboard owners with clients seeking advertising space. We provide a marketplace where clients can easily browse and discover available billboards for their advertising needs. Our platform offers real-time updates on billboard availability, detailed listings with photos and videos, and direct contact options between clients and billboard owners. We aim to simplify the process of finding and booking billboard space, making it efficient and straightforward for both parties. However, it's important to note that our role is purely as a facilitator; all transactions and agreements are made directly between clients and billboard owners. (hereinafter referred to as the “Service”)

These Terms of Service are applicable to the vendors / clients of the platform. If you are a Billboard Owner, please refer our Billboard Owner Terms

These Terms of Service govern your use of Banrboard and all associated services. Please read these Terms carefully, as these, along with our Cancellation & Refund Policy and Privacy Policy statement, forms the entire agreement between you and Banrboard. If you do not accept these Terms in its entirety, then you may not use the website, App, or avail any of our services.

ACCEPTANCE OF THE TERMS OF SERVICE

By downloading or installing our App, or by accessing or using the App or our website, or by registering an account on our platform, or by engaging with our Services, or by clicking on a button or taking similar action to signify your affirmative acceptance of these Terms, you hereby represent that:

• You have read, understood, and agreed to be bound by these Terms and any future updates and additions to these Terms, as published from time to time at our website and App.
• You are of sound mind, at least 18 years in age, and otherwise competent to form a binding contract with us. If you are using our platform on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, the terms "you" and "your" shall refer to both you as an individual and the business or legal entity you represent. By using the platform, you represent and warrant that you meet all of the foregoing eligibility requirements.
• We must not have previously disabled your account for violation of law or any of our policies.
• You have read, understood, and consented to our Cancellation & Refund Policy, as well as our Privacy Policy statement

ACCOUNT AND REGISTRATION

• Account Creation: To access and use certain features of the Banrboard platform, you must create an account by providing accurate, current, and complete information during the registration process. You are responsible for maintaining the accuracy of this information and updating it as necessary.
• User Credentials: You must choose a secure password during the registration process. You are responsible for safeguarding your account credentials and ensuring their confidentiality. You must not share your account details with others, and you are responsible for all activities that occur under your account.
• Account Security: You agree to notify us immediately at tatkshana@gmail.com if you suspect any unauthorized use of your account or any other breach of security. Banrboard is not liable for any loss or damage arising from your failure to protect your account credentials.
• Assisted Registration: If you require assistance with the registration process, our customer support team can help you create an account. However, you remain responsible for the accuracy of the information provided and the security of your account. We strongly recommend that you change your password once your account access has been offered to you.
• Account Termination: Banrboard reserves the right to suspend or terminate your account at any time, with or without notice, if you violate these Terms of Service or engage in any activities that harm the platform or its users. You may also terminate your account by contacting us at tatkshana@gmail.com.
• Multiple Accounts: You are not permitted to create multiple accounts without our express permission. If we detect multiple accounts for the same user or entity, we may take action to suspend or merge those accounts.

ALLOWED USES OF THE PLATFORM

Here’s what you’re allowed to do on the platform:

• Permitted Activities: The Banrboard platform is intended for use by clients seeking to advertise on billboards and by billboard owners looking to list and manage their billboard spaces. You may use the platform to browse available billboards, contact billboard owners, list billboards, and manage your advertising or listing activities.
• Compliance with Terms: Your use of the platform must comply with these Terms of Service, as well as all applicable laws, regulations, and industry standards. You agree to use the platform only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the platform.
• Respect for Other Users: You must respect the rights and privacy of other users on the platform. This includes not harassing, threatening, or abusing other users, and not interfering with their use of the platform.
• Directions of Use: You must follow any and all guidelines or policies or directions of use as associated with each of the services on the platform.
• Personal Information: Whenever prompted, you must provide us with the correct, accurate, and updated information. These will be handled in accordance with the Privacy Policy statement posted on our website and App.
• Limited License: As a client or vendor using the Banrboard platform, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the platform solely for the purpose of seeking advertising opportunities on listed billboards. This license does not grant you the right to share, distribute, or sublicense any content, data, or materials obtained through the platform with third parties, including but not limited to the contact information of billboard owners. Any attempt to use the platform or its content beyond the scope of this limited license, including for commercial purposes outside of the platform's intended use, is strictly prohibited and may result in the termination of your access to the platform.

PROHIBITED USES

Here’s what you’re not allowed to do on the platform:

• Illegal Activities: You are strictly prohibited from using the Banrboard platform for any illegal activities, including but not limited to fraud, money laundering, and the sale or promotion of illegal goods or services. Any use of the platform that violates applicable laws or regulations is strictly forbidden.
• Misrepresentation: You must not misrepresent your identity, qualifications, or affiliations on the platform. This includes providing false or misleading information about your business, billboards, or advertising opportunities. Any attempt to deceive or defraud other users is strictly prohibited.
• Unauthorized Access: You are prohibited from attempting to gain unauthorized access to any part of the platform, including other users' accounts, data, or systems. This includes hacking, password mining, or any other means of circumventing security measures.
• Spamming and Unsolicited Contact: You must not use the platform to send unsolicited messages, spam, or advertisements to other users. Any form of harassment, including repeated or unwanted contact, is strictly prohibited.
• Violation of Intellectual Property Rights: You are prohibited from uploading, sharing, or using any content on the platform that infringes on the intellectual property rights of others, including copyrights, trademarks, and patents. This includes using copyrighted materials without proper authorization or attribution.
• Sharing Confidential Information: You must not share or distribute any confidential or proprietary information obtained through the platform without proper authorization. This includes the contact details of billboard owners, clients, or any other sensitive information.
• Harmful Conduct: You are prohibited from engaging in any conduct that could harm the platform, its users, or its reputation. This includes uploading or transmitting harmful software, viruses, or other malicious code, as well as any actions that could disrupt or damage the platform's operations.
• Circumventing Platform Features: You must not attempt to circumvent or manipulate any pricing, billing, or subscription features on the platform. This includes attempting to avoid payment for services or using the platform in a way that violates the intended functionality of its features.
• Multiple Accounts: Creating multiple accounts without our express permission, especially to gain an unfair advantage or to engage in prohibited conduct, is strictly prohibited.
• Unauthorized Use of Data: You must not use, scrape, or extract data from the platform for unauthorized purposes, including commercial purposes, without our prior written consent. This includes any automated data collection practices such as data mining, robots, or similar tools.
• Disrespectful Behavior: You are prohibited from using the platform to harass, abuse, or threaten other users. This includes discriminatory, offensive, or inappropriate behavior based on race, gender, religion, nationality, disability, sexual orientation, or any other characteristic.
• Termination of Access: Banrboard reserves the right to terminate or restrict your access to the platform at any time if you violate these Terms of Service or engage in any activities that harm the platform or its users. Such termination or restriction may occur without prior notice. In case of such termination, the Company is not liable for refunding any fee or compensation in any manner whatsoever

UPDATES AND MODIFICATIONS TO FEATURES

• Platform Changes: Banrboard reserves the right to update, modify, or discontinue any features, services, or functionalities of the platform at any time, with or without prior notice. These changes may include enhancements, bug fixes, security updates, or the introduction of new features designed to improve the overall user experience.
• User Impact: While we strive to ensure that updates and modifications are beneficial, they may affect how you interact with the platform. You acknowledge and agree that such changes may alter the functionality, appearance, or availability of certain features, and Banrboard shall not be liable for any inconvenience or loss resulting from these modifications.
• Communication of Changes: We may, but are not obligated to, inform users of significant updates or changes to the platform through email notifications, announcements on the platform, or other communication channels. It is your responsibility to review these communications and familiarize yourself with any changes.
• Acceptance of Updates: Your continued use of the platform following any updates or modifications constitutes your acceptance of those changes. If you do not agree with any updates or modifications, your sole remedy is to discontinue using the platform

INTELLECTUAL PROPERTY

• Ownership of Content and Services: All content, features, and functionality on the Banrboard platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and any other materials, are the exclusive property of Banrboard or its licensors and are protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws.
• Limited Use: As a client or vendor, you are granted a limited, non-exclusive, non-transferable license to access and use the content on the platform solely for the purposes of engaging with billboard advertising opportunities. This license does not permit you to copy, reproduce, distribute, display, modify, create derivative works from, or otherwise exploit any of the content on the platform for any commercial or non-commercial purpose without the express written consent of Banrboard.
• Trademarks: The trademarks, service marks, logos, and trade names displayed on the platform, including "Banrboard", are registered and/or unregistered trademarks of Banrboard and its licensors. You are not permitted to use any of these marks without the prior written consent of Banrboard.
• User Content: Any content or materials you upload or share on the platform, such as reviews, comments, or feedback, remain your property. However, by uploading or sharing content on the platform, you grant Banrboard a worldwide, royalty-free, perpetual, irrevocable, and transferable license to use, reproduce, modify, distribute, display, and create derivative works from such content in connection with the operation of the platform and its services.
• Infringement Claims: If you believe that any content on the platform infringes upon your intellectual property rights, please contact us at tatkshana@gmail.com with detailed information about the alleged infringement, and we will take appropriate action as required by law.
• User Feedback: Any feedback you provide to the Company will be considered non-confidential and non-proprietary. By providing any feedback, you grant Banrboard and its affiliates a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

SUBSCRIPTION AND PAYMENT TERMS

• Subscription Plans: Banrboard offers an annual subscription plan for clients / vendors, granting access to our platform’s features and services. By subscribing, you agree to the payment terms outlined at the time of purchase, including the subscription fee and any applicable taxes.
• No Refunds: Once a subscription is purchased, no refunds will be provided under any circumstances. The service is deemed fully consumed upon subscription, as you gain immediate access to our entire database of billboard owners and their contact information. Please ensure that you understand this policy before making a purchase. For more information, please refer to our Cancellation & Refund Policy.
• Automatic Renewal: Your subscription will automatically renew at the end of the subscription period unless you cancel it prior to the renewal date. The renewal will be charged at the same rate as your original subscription unless otherwise notified. You are responsible for ensuring that your payment information is up-to-date to avoid any interruptions in service.
• Payment Methods: Banrboard accepts various payment methods as specified during the checkout process. By providing your payment information, you authorize us to charge the subscription fee to your chosen payment method. If a payment is declined or fails, we may attempt to reprocess the payment or contact you for an alternative method.
• Failed Payments: If your payment method fails or your account becomes past due, we reserve the right to suspend or terminate your access to the platform until full payment is received.
• Taxes: All subscription fees are exclusive of any applicable taxes, including Goods and Services Tax (GST). You are responsible for paying any taxes that may apply to your use of the platform.
• Changes to Subscription Terms: Banrboard reserves the right to change the subscription fees or payment terms at any time. Any changes will be communicated to you, and your continued use of the platform after such changes will constitute your acceptance of the new terms

The website/App might contain links to third-party website/Apps or services. Such third-party links are not under the control of Banrboard, and Banrboard is not responsible for any third-party links. Banrboard provides access to these third-party links only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to third-party links. You shall use all third-party links at your own risk, and should apply a suitable level of caution and discretion in doing so. Whenever you click on such links, you may be taken to such a third-party website/App, and you get out of the jurisdiction of our website/App. Therefore, you shall be governed by the legal policies of such third-party website/Apps and we suggest that you read those policies. In case of any damage due to such action of third-party links or inaccuracy of content or wrong information, Banrboard shall not be responsible.

• Accuracy of Information: While Banrboard strives to provide accurate and up-to-date information on available billboards, we do not guarantee the accuracy, completeness, or reliability of any information provided by billboard owners. As a user, it is your responsibility to verify the details of any billboard listing, including availability, pricing, and suitability for your advertising needs.
• No Endorsement: Banrboard does not endorse, verify, or guarantee the quality, legality, or suitability of any billboard owner or their listings. Any interactions, negotiations, or agreements you enter into with billboard owners are conducted solely at your own risk. We strongly encourage you to perform your own due diligence before entering into any transaction.
• Service Availability: The Banrboard platform and its services are provided on an "as is" and "as available" basis. We do not guarantee that the platform will be free of errors, interruptions, or security breaches. We are not responsible for any technical issues, delays, or disruptions that may affect your access to the platform or the services it provides.
• User Responsibility: As a user of the Banrboard platform, you are solely responsible for your interactions with billboard owners and other users. Banrboard does not intervene in disputes between users and will not be liable for any damages or losses resulting from such interactions.
• Compliance with Laws: Users must comply with all applicable local, state, national, and international laws and regulations in connection with their use of the Platform. Banrboard is not responsible for any user’s failure to comply with such laws.
• Platform Availability: Banrboard does not guarantee that the Platform will be available at all times or without interruption. We reserve the right to suspend, discontinue, or modify the Platform or any part of it, without notice, at any time and for any reason. We are not liable for any unavailability of the Platform. Banrboard is also not responsible for any technical issues that may affect your use of the Platform. This includes but is not limited to connectivity issues, server downtime, bugs, viruses, or other malfunctions. Users are responsible for ensuring that their devices and internet connections are sufficient to access and use the Platform

LIMITATION OF LIABILITY

• General Limitation: To the fullest extent permitted by applicable law, in no event will Banrboard, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Platform; (b) any conduct or content of any third party on the Platform; (c) any content obtained from the Platform; and (d) unauthorized access, use, or alteration of your transmissions or content.
• Direct Damages: In no event shall the total liability of Banrboard for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the Platform during the twelve (12) months immediately preceding the date of the claim.
• Billboard Owner Liability: Banrboard is not liable for any damages or losses arising from the services provided by the Billboard Owners whose details you may find on the Platform. Billboard Owners are independent contractors and not employees or agents of Banrboard. Any disputes or issues arising from the services provided must be resolved directly between you and the Billboard Owner.
• Applicable Law Exceptions: Banrboard's liability will be limited to the greatest extent permitted by law

LEGAL ACTION

If you are found to be degrading, tarnishing, maligning the image, goodwill, or reputation of Banrboard by spreading hate, insulting, false, fake reviews or engaging in mala fide actions against the above, strong legal actions will be taken immediately

INDEMNIFICATION

You acknowledge to defend, indemnify, and hold Banrboard, its affiliates, subsidiaries, directors, officers, employees, agents, partners, and any other licensors (hereinafter referred to as “Indemnified Party”) harmless from and against any claim, disputes, fine, liability, demand, or expense, including reasonable legal counsel’s fee, made by a third party, relating to, or arising from:

• Your violation of ours or any third-party right;
• Your wrongful or improper use of our services, or platform;
• Your violation of any applicable laws, rules, or regulations;
• Your violation of these Terms or any other policy of ours as associated with our services;
• The indemnifications set forth above will survive the termination or expiration of these Terms and/or your use of our services

GOVERNING LAW AND DISPUTE RESOLUTION

• Choice of Law: The Terms and any dispute arising from the same will be governed by applicable laws of the Republic of India, except for its conflict of law provisions.
• Amicable Settlement: In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the parties shall first attempt to resolve the matter amicably through mutual discussion. Such discussions shall continue for a period of at least 30 days from the date either party provides written notice of the dispute to the other party. • Injunctive Relief: Nothing specified in Section 14(b) above shall affect either party's right to apply for an injunctive order of urgent nature from any court of competent jurisdiction.
• Exclusive Jurisdiction: If the dispute cannot be resolved amicably within the 30-day period, the dispute shall be submitted to the exclusive jurisdiction of the courts located in Bhadravathi, Karnataka, India, or the High Court of Karnataka. The parties agree to submit to the personal jurisdiction of these courts and waive any objections to the convenience or propriety of such venue.
• Class Action Waiver: All disputes will be resolved on an individual basis. You hereby waive the right to participate in class, collective, coordinated, or consolidated actions.
• Consumer Rights: This Agreement shall not override any rights under applicable consumer laws or any other law that cannot be waived.

DISPUTES BETWEEN CLIENTS AND BILLBOARD OWNERS

Any disputes, disagreements, or issues that arise between clients and billboard owners regarding the services provided through our platform shall be settled directly between the involved parties. We do not take any responsibility for resolving such disputes and will not act as a mediator or arbitrator in any capacity.

We want to emphasize that we do not endorse or verify the credentials, legitimacy, or trustworthiness of any billboard owner listed on our platform. Our role is solely to provide a marketplace that connects clients with billboard owners. It is the client’s sole responsibility to conduct thorough background checks, verify the information provided by the billboard owner, and ensure that they are satisfied with the terms and conditions of any agreement they enter into with a billboard owner.

Please be aware that any transaction, agreement, or arrangement made between you and a billboard owner is conducted at your own risk. We strongly encourage clients to take all necessary precautions, such as requesting proof of ownership, reviewing the terms of service, and seeking independent advice if needed before entering into any agreement. We do not accept any liability or responsibility for any loss, damage, or inconvenience resulting from your dealings with billboard owners.

In the event of a dispute, we recommend that clients and billboard owners attempt to resolve the matter amicably and directly. If an amicable resolution cannot be reached, the parties may seek legal recourse through appropriate legal channels. However, such actions are entirely between you and the billboard owner, and we shall have no involvement or responsibility in such proceedings.

NOTICES

When you use the website/App or send emails to Banrboard, you are communicating with us electronically. You consent to receive physically or electronically any communications related to your use of this website/App. Banrboard will communicate with you by email or by posting notices on this website/App. You agree that all agreements, notices, disclosures, and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing. We may give notice by means of a general notice via electronic mail to your email address as available with us. If you want to give a notice to us, you can do so by dropping an electronic mail to tatkshana@gmail.com

MISCELLANEOUS

• Independent Legal Advice: It is your obligation to obtain independent legal advice at your own expense to ensure you understand the provisions of these Terms.
• Headings: The section headings are for convenience only and shall not control or affect the meaning or construction of any provision of these Terms.
• Breach: In case of any breach or threatened breach to the provisions of these Terms, we reserve the right to suspend your access to our platform or our Services, at our sole discretion. In such cases, you will not be entitled to any refund or compensation.
• Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions of these Terms will continue in full force and effect.
• Waiver: Our failure to insist on or enforce strict performance of these Terms of Service shall not be construed as a waiver by us of any provision or any right that we have to enforce these Terms and nor shall any course of conduct between Company and you or any other party be deemed to modify any provision of these Terms.
• Survival: Notwithstanding any other provisions of these Terms of Service, or any general legal principles to the contrary, any provision of these Terms of Service that imposes or contemplates continuing obligations on either party shall survive the expiration or termination of these Terms of Service, for any reason whatsoever.
• No Third-Party Beneficiaries: Except as otherwise expressly provided in these Terms of Service, there shall be no third-party beneficiaries to these Terms of Service.
• No Assignment: Users may not assign these Terms of Service (or any rights, benefits, or obligations hereunder) by operation of law or otherwise without the prior written consent of Banrboard, which may be withheld at Banrboard’s sole discretion. Any attempted assignment that does not comply with these Terms of Service shall be null and void.
• Entire Agreement: The Terms, Cancellation & Refund Policy, and Privacy Policy, and any additional terms and conditions incorporated herein or referred to herein constitute the entire agreement between Banrboard and you, relating to the subject matter hereof, and supersedes any prior understanding or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on our website/App.
• Force Majeure: Banrboard and its third-party service providers will be excused from performance for any period during which, and to the extent that, such party or any subcontractor is prevented from performing any obligation or service, in whole or in part, as a result of causes beyond its reasonable control, and without its fault or negligence, including without limitation, acts of God, communication line failures, technical issues, bugs, errors, power failures and/or similar inabilities.
• Updates to these Terms: Please note, these Terms may be updated from time to time to reflect changes to our practices, market realities, or for other operational, legal, or regulatory reasons. Changes are effective immediately upon posting to our website or within the App. Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes. SUBSCRIPTION CANCELLATION

As an advertiser on the Banrboard platform, you may cancel your subscription at any time. Due to the nature of our services, which are fully delivered upon subscription activation, cancellations are subject to the following terms.
